About the PowerUp Lite Platform
Microsoft’s PowerUp Lite is a Microsoft Azure platform maintained and operated by a Microsoft agency, which is designed to automate the digital marketing campaign design process. It does so by granting Partners access to an easy-to-use campaign generator, which provides a campaign landing page, e-mail templates, social media content, or web banners (the campaign materials) for use in a marketing campaign (the Campaign).
PowerUp Lite is available to Microsoft Partners who:
Are part of the Microsoft Partner Network (MPN) and have an MPN ID;
Have closed at least one cloud sale, and are committed to growing their customer base through digital marketing demand generation;
Participate in PowerUp Lite digital marketing workshops and webinars;
Commit to using the campaign materials for digital marketing;
Are based in the following countries: Poland, Romania, Greece, Czech Republic, Hungary, Croatia, Slovenia, Slovakia, and Russia; and
Agree to share Campaign performance details, and report on the outcome of the lead generation campaign.
You can register for a PowerUp Lite account through the PowerUp Lite landing page using a variety of accounts (Microsoft, School, Work, Google or Facebook) to log in. Microsoft reserves the right to refuse log in to any user at its sole discretion.
Reserve Right to Modify the Service and Terms
Microsoft may change the Service or delete features of the Service at any time and for any reason. Microsoft may cancel or suspend your use of the Service at any time without notice and for any reason. Upon Service cancellation, your right to use the Service stops immediately.
From time to time, Microsoft may change or amend these Terms. If we do, we will notify you, either by posting a notice on the Platform, or in an e-mail notification. If you do not agree to the changes, you should stop using the Service. Otherwise, the new terms will apply.
In order to provide you with the Service, we will gather the following data:
Your company details, including company name, company description, Microsoft Partner ID, country, city, zip code, address, company website address
Your company logo
Profile image - marketing contact
Profile image - sales contact
Name, job title, e-mail and phone number of the local marketing contact person
Name, job title, e-mail and phone number of local sales management contact
Details of any specific offers you wish to promote to your customers via your customized landing page
Details of the specific SKUs and extensions that you wish to offer customers
You may use the Service only in accordance with these Terms.
Microsoft reserves the right, at its sole discretion, to reject Campaigns, and will aim to let you know if a Campaign is approved within 2 business days of its submission.
You may include your own first-party offerings within the Campaign, but you must not include any competitive non-Microsoft services (including, but not limited to any offerings such Google docs, AWS, Salesforce, CISCO, etc). If Microsoft becomes aware of a Campaign that Microsoft believes, at its sole discretion, brings Microsoft or its partners or other third-parties into disrepute in any way, Microsoft can demand the immediate withdrawal of this Campaign without any reason. You will immediately oblige and be liable for any associated costs arising from such withdrawal.
You are responsible for all unique offerings, additional services, pricing, contact information and calls-to-action that you include in any Campaign.
When using the Service, in addition to complying with these Terms, you must comply with all applicable local laws, rules, regulations, and guidelines (including any advertising codes and guidelines). Any liability arising from your failure to do so will be solely yours.
If Microsoft believes, at its sole discretion, that you are making unauthorized or improper use of the Service, Microsoft may require you to remove any Campaign and block you from using the Service.
Reservation of Rights: Microsoft retains all rights, title, and interest in and to the Service and Platform website. This includes all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. Microsoft reserves all rights not expressly granted.
Reporting and Feedback
Microsoft may ask you to report on Campaign performance. Such reporting will be carried out in a manner and format agreeable to Microsoft. If you provide Microsoft with any other feedback on PowerUp Lite, you give Microsoft an irrevocable, perpetual, sub-licensable right to use, share, and commercialize your feedback in any way and for any purpose at no charge. You also give to third-parties any patent rights in your feedback needed for their products, technologies, and services to use or interface with any specific parts of a Microsoft software or service, at no charge. You will not give feedback that is subject to a license or other obligation that requires Microsoft to grant or pass through any rights, or make any disclosures or payments to third-parties. These rights are unaffected by these Terms.
These Terms (or any subsequent replacement Terms) start on the date you accept them and continue for the duration of your use of the Service.
Submissions Provided to Microsoft
Microsoft does not claim ownership of the content you provide to the Service. Your content remains your content. Notwithstanding the approval process, Microsoft does not control, verify, or endorse the content that you make available on the Service.
Microsoft provides the Service "as is," "with all faults," and "as available."
Microsoft does not guarantee the suitability, reliability, availability, accuracy or timeliness of information available from the Service.
Microsoft does not guarantee that the Service will be uninterrupted, secure, error-free or that data loss will not occur.
You acknowledge that computer and telecommunications systems are not fault-free and occasional periods of downtime will occur.
Microsoft gives no express warranties, guarantees, or conditions. Microsoft disclaims all warranties with regard to the Service. This includes any implied warranties (e.g., those of merchantability, fitness for a particular purpose, workmanlike effort, title, and non-infringement).
Copyright and Trademarks
All content assets within the Service, except user-generated content, are the sole and exclusive property of Microsoft. All rights reserved. Copyright and other intellectual property laws and treaties protect any software and campaign materials provided as part of the Service. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in the software and materials. Information on Microsoft trademarks is available at: https://www.microsoft.com/en-us/legal/intellectualproperty/trademarks/usage/default.aspx. By using this Service, Microsoft grants you a non-exclusive, non-transferable license to use the trademarks made available through this Service, solely in advertising materials as supplied by Microsoft herein for the purposes of one or more Campaigns. This license is revocable by Microsoft at any time. The names of actual companies and products mentioned herein may be the trademarks of their respective owners.
You Indemnify Microsoft
At Microsoft's request, you will defend, indemnify, and hold Microsoft and its directors, officers, employees, agents, subsidiaries, affiliates, and each of their successors harmless from and against all third-party claims, actions, demands, proceedings, damages, costs, and liabilities of any kind (collectively, "Claims"). This indemnity applies to the extent that the Claims arise out of or relate to your: (a) use of the Service; (b) your use of campaign materials; (c) violation of laws or applicable regulations in the use of the Service; (d) your breach of your warranties or obligations under these Terms.
Limitation of Liability
You cannot recover any damages, including consequential, special, indirect, incidental, or punitive damages and lost profits arising from your use of the Service. This limitation applies to anything related to these Terms, including, but not limited to:
Loss of data;
Your content, third-party content (including code), third-party programs, or third-party conduct;
Viruses or other disabling features that affect your access to or use of the Service;
Incompatibility between the Service and other services, software, or hardware;
Delays or failures you may have in initiating, conducting, or completing any transmissions or transactions in connection with the Service in an accurate or timely manner; and Claims for breach of contract; breach of warranty, guarantee, or condition; misrepresentation; strict liability; negligence; or other tort.
It also applies even if this remedy does not fully compensate you for any losses, fails in its essential purpose, or if Microsoft knew or should have known about the possibility of the damages.
These Terms do not exclude or restrict liability for death or personal injury arising from Microsoft’s negligence, fraud, or its gross negligence or willful intent.
Interpretation of the Terms
All parts of the Terms apply to the maximum extent permitted by law. A court may hold that Microsoft cannot enforce a part of the Terms as written. If this happens, then you and Microsoft will replace that part with terms that most closely match the intent of the part that we cannot enforce. The rest of these Terms will not change.
Microsoft may assign, transfer, sell, rent, lend or otherwise dispose of our rights and obligations under these Terms. Microsoft may do this in whole or part, at any time without notice to you. You may not temporarily or permanently assign any part of the Terms or any rights to use the Service to any other party. Any attempt to do so is void.
The laws of your local jurisdiction shall apply to these Terms.
The Platform and Services are made available free of charge. The Partner acknowledges and accepts that it is solely responsible for any payments due to a third-party (such as a marketing agency) as a result of using the campaign materials.
The Partner is solely responsible for ensuring any third-party materials that it uses in the campaign materials are fully licensed and do not infringe any third-party IP rights. The Partner will fully indemnify Microsoft from any actions or claims arising as a result of third-party IP infringement.
Microsoft does not offer support for the Platform.
